        Introduced by M. of A. PAULIN -- read once and referred to the Committee
          on Corporations, Authorities and Commissions

        AN ACT to amend the religious corporations law, in relation to electron-
          ic  meetings  conducted  partially  or  solely  by means of electronic
          communication; and repealing certain provisions of such  law  relating
          thereto

          The  People of the State of New York, represented in Senate and Assem-
        bly, do enact as follows:

     1    Section 1. Section 28 of the religious corporations law, as amended by
     2  chapter 588 of the laws of 2021, is amended to read as follows:
     3    § 28. Electronic  meetings.  Notwithstanding  any  provision  of  law,
     4  certificate of incorporation or by-laws to the contrary, if the board of
     5  trustees of a religious corporation is authorized to determine the place
     6  of  trustee meetings, corporate meetings, congregant or membership meet-
     7  ings, the board of trustees may, in its sole discretion, determine  that
     8  the  meeting  shall  be  held partially or solely by means of electronic
     9  communication. In the case of a meeting held solely by electronic commu-
    10  nication, the electronic service and/or platform through which the meet-
    11  ing is held shall be the place of the meeting for purposes of this chap-
    12  ter. Meetings conducted partially  or  solely  by  means  of  electronic
    13  communications  in reliance upon this section and any individual's elec-
    14  tronic participation in such meetings shall be subject to  those  guide-
    15  lines and procedures as the board of trustees adopts.
    16    § 2. Section 28 of the religious corporations law, as amended by chap-
    17  ter 98 of the laws of 2021, is REPEALED.
    18    § 3. This act shall take effect immediately.
