A BILL to provide a moratorium on the assessment of certain fees collected by the State Corporation Commission for filing organizational documents of new business entities.

Be it enacted by the General Assembly of Virginia:

1. §1. That for the period July 1, 2010, through July 1, 2011, the State Corporation Commission shall not assess or collect any registration fee, filing fee, franchise tax, charter fee, or entrance fee for which payment would be required under the provisions of (i) the Virginia Stock Corporation Act (§13.1-601 et seq. of the Code of Virginia) as a condition to filing the initial articles of incorporation of a stock corporation being established as a for-profit entity; (ii) the Virginia Nonstock Corporation Act (§13.1-801 et seq. of the Code of Virginia) as a condition to filing the initial articles of incorporation of a nonstock corporation being established as a for-profit entity; (iii) the Virginia Limited Liability Company Act (§13.1-1000 et seq. of the Code of Virginia) as a condition to filing the initial articles of organization of a limited liability company; or (iv) the Virginia Revised Uniform Limited Partnership Act (§50-73.1 et seq. of the Code of Virginia) as a condition to filing the initial certificate of limited partnership of a limited liability partnership.
