Clarifying the duties of a director of a corporation and the manner in which a director must act; clarifying that a director who acts in accordance with a specified provision of law shall have specified immunity from liability; clarifying that a director of a corporation is not required to act solely because of the effect the act may have on, or the amount or type of consideration offered or paid to stockholders in specified transactions involving the corporation; etc.
